Responsibilities involved all financial matters, intellectual property registration and protection, licensing, contract negotiations (domestically and international contracts), public relations, promotions, marketing, sourcing for products with overseas manufacturer, web site design and maintenance, administration and preparation of pro forma, business plan and SEC documents for private offering.

Transaction Attorney ‑ February 1995 to July 2001

Practice focused on business mergers, acquisitions, succession planning, estate planning and commercial real estate transactions.

Typical transactions included:  representation of clients in various types of reorganizations, both taxable and tax-free.  Estate and business succession planning was generally accomplished by utilizing advanced planning devices and techniques.  Purchaser and seller representation in purchases and sales of office buildings, light industrial, and undeveloped real estate, borrower representation in commercial refinances, commercial leases and build-to-suit arrangements.  Representation included financial analysis, planning, negotiation and implementation through closing.  Extensive education and experience in estate planning and administration in connection with sale, acquisition or succession planning for privately held companies valued between $1m and $22m.  Client representation for business succession consulting in 25 states.
